Terms of Service
These terms govern your use of Codencio, a web-based church software product operated by CodeMushroom LLC ("we," "us," or "Codencio"). By creating an account or using the service, you ("you," "your church") agree to these terms.
1. The plain version
What you can expect from us. We'll keep the service running, fix bugs as fast as we reasonably can, and never sell or share your data. If we make a change that materially affects you, we'll tell you 30 days in advance.
What we expect from you. Don't use Codencio to harm anyone, post content you don't have rights to, or try to break our systems. Pay your bills on time. That's it.
2. The service
Codencio is provided as a subscription service, offered AS-IS, without warranties of any kind, express or implied. We deploy continuously — bug fixes, improvements, and new features ship regularly. Material breaking changes are announced 30 days in advance via email to your account address.
2.1 Honoring prior commitments
Churches that created a Codencio account during the open-beta period (prior to 2026-05-19) and have maintained a continuously active account are honored at the original rate they signed up under, for as long as the account remains continuously active. If the account is canceled and later reactivated, the then-current standard rate applies. Get in touch if you believe you qualify and the current pricing seems off.
2.2 Tier picks are honor-system
Pick the tier that matches your church on a typical Sunday. We don't gate features on staff-seat counts or member counts, and we won't quietly auto-upgrade your bill when you grow into the next tier. If your usage looks materially out of step with the tier you picked, we'll contact you — and you'll have at least 60 days to accept, propose an alternative, or cancel without penalty.
Our subscription tiers are sized by average weekly attendance. We do not technically enforce limits on staff seats, member counts, or other usage signals in the application — picking the right tier is on the honor system, and we trust the church admin to pick what fits.
That said: if, in our reasonable judgment, your church's actual usage materially and persistently exceeds the tier you signed up for (for example, a lowest-tier church consistently operating with the staff headcount and activity volume of a much larger one), we reserve the right to review your account and contact you about it. We'll describe what we observed and propose an adjustment — typically a move to the tier that better fits — and you'll have at least 60 days to (a) accept, (b) propose an alternative we agree to in writing, or (c) cancel the service without penalty beyond fees accrued through the cancellation date.
This is the same posture as our cost-exposure safety valve for churches that turn out to be unusually expensive for us to serve (e.g. runaway storage or messaging volume): we talk to you first, and you get a meaningful window to evaluate. We don't quietly raise your rate, and we don't apply changes retroactively.
3. Account and tenant scope
A Codencio account represents a single church. Multiple staff and volunteers may share access via roles (church admin, staff, team leader, volunteer). The church admin is responsible for managing access and is the legal billing contact.
- You are responsible for maintaining the confidentiality of your account credentials, including any 2FA recovery codes.
- Sharing a single user account between multiple humans is prohibited; create separate user invitations instead.
- You agree that all activity under your church account is your church's responsibility.
4. Acceptable use
You agree not to use Codencio to:
- Upload, store, or distribute content you don't have the rights to (see also our DMCA process at /dmca).
- Attempt to access another church's data, accounts, or systems.
- Probe, scan, or test the security of our infrastructure (responsible disclosure: security@codenc.io).
- Send spam, phishing, or otherwise abusive communications via Codencio's messaging features.
- Resell or sublicense Codencio to other organizations.
- Interfere with or disrupt the service for other churches.
We may suspend or terminate accounts that violate these terms. We'll typically reach out first; flagrant abuse may be terminated immediately.
5. Your content
You retain all ownership of content you upload to Codencio ("Your Content") — service plans, slide decks, PDFs, photos, audio, prayer requests, connection cards, and so on. You grant us only the minimal license required to host and serve your content back to you and to your authorized congregation members.
- We do not use Your Content to train AI models.
- We do not display Your Content publicly except where you've explicitly chosen to (e.g. the public prayer wall, a published service plan PDF, the connect-card landing page).
- Anonymous prayer wall submissions and connection cards belong to your church; we host them on your behalf.
- You are responsible for ensuring you have the rights to upload music, sheet music, lyrics, sermon recordings, and any other copyrighted content. See section 8.
6. Service-level expectations
During beta we don't commit to a formal SLA, but our intent is:
- Availability: 99% target during your service hours (Sunday morning is sacred).
- Backups: nightly database snapshots, retained 30 days. Restoration tested weekly.
- Status: live system status at codenc.io/status.
- Incident communication: material outages emailed to church admins within 1 hour of detection.
7. Termination and data export
You may cancel your account at any time. Upon cancellation:
- Your account enters a 30-day soft-archive. You can reactivate without data loss.
- After 30 days, all data is permanently deleted from active systems. Backups containing the data age out within an additional 30 days.
- You may request a full data export (CSV + JSON) at any time before the 30-day window closes. We aim to deliver within 5 business days.
8. Intellectual property and music licensing
Codencio does not include any music license. If your church displays copyrighted song lyrics, performs copyrighted music, or streams services that include copyrighted music, you are responsible for obtaining the appropriate licenses from CCLI, OneLicense, or other rights holders.
Our DMCA process is at /dmca. We comply with valid DMCA takedown notices and counter-notifications.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODENCIO IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF CODENCIO IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. DURING BETA, WHEN FEES ARE $0, OUR LIABILITY IS LIMITED TO $100.
11. Changes to these terms
We may update these terms. Material changes will be announced via email to your account address at least 30 days in advance. Continued use of Codencio after the effective date constitutes acceptance.
